I focus on transactional, tax and succession planning matters. My experience includes mergers, acquisitions, private placements, initial public offerings, licensing, financing and secured transactions, corporate formation and governance, complex contract and deal making negotiations, tax controversies, and litigation avoidance counseling. I have represented clients in numerous industries including manufacturing, distribution, satellite and wireless communications, merchandising, transportation, electronics, common carrier broadcasting, subsidized housing and both commercial and residential real estate development and disputes. I am a certified public accountant (currently inactive) and I was also a law school instructor (Southwestern University) teaching courses in tax, estate planning and drafting.
